1. Acceptance of Terms

This Terms of Service ("Terms") is a binding agreement between you and Blai Labs Inc. ("Blai," "we," "us," or "our"), the provider of the Blai App (including its AI Advisor and Research Analyst agents). By accessing or using the Blai App or any related services ("Service"), you agree to be bound by these Terms. If you do not agree, you must not use the Service. By using the Service, you also agree to our Privacy Policy, which describes how we collect and use your information. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of the Service

Blai is an AI-powered platform that provides an AI Advisor and Research Analyst to assist users with information gathering, analysis, and research. The Service generates content and responses using artificial intelligence based on user inputs (prompts or questions). All outputs and information provided by the AI Advisor or Research Analyst are for general informational and research purposes only and are not personalized financial advice. Blai does not offer any professional advisory services (financial, legal, investment, or otherwise) through the AI agents. The Service's AI-generated content should be used as a starting point for your own research and not as a definitive source of guidance.

3. No Financial Advice – Informational Purposes Only

The AI Advisor and Research Analyst do not provide financial, investment, or trading advice. All information, analysis, and content you receive from the Service is intended for informational purposes only and does not constitute financial or investment advice or trading recommendations. Blai Labs is not a registered investment advisor, broker-dealer, financial planner, or tax advisor, and no fiduciary or professional advisory relationship is created by your use of the Service. You acknowledge that you are solely responsible for any investment, trading, or financial decisions you make based on information from Blai. Any reliance on AI-generated content is at your own risk. We strongly recommend that you conduct independent research and/or consult a licensed financial advisor or other qualified professional before making any investment or financial decisions. Past performance or examples discussed by the AI (if any) are not guarantees of future results. You agree that Blai's content does not replace professional advice, and you will not interpret it as such.

4. Accounts and Eligibility

You may need to create an account to use certain features of the Blai App. You agree to provide accurate and complete registration information and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. If you become aware of any unauthorized use of your account, you must notify us promptly. You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By using the Service, you represent that you are legally able to enter into this agreement and that all information you submit is truthful and yours to provide.

5. Permitted Uses and User Responsibilities

5.1. Lawful and Intended Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You will not use the Service in any manner that violates any applicable law or regulation, or for any fraudulent or malicious purposes. The Service is provided for your personal or internal business research use. You agree not to misuse the AI Advisor or Research Analyst for generating harmful, misleading, or unlawful content.

5.2. Prohibited Activities

You further agree that you will NOT:

• Violate Rights: Input or share any content through the Service that infringes or violates the intellectual property, privacy, or other rights of any third party.

• Abuse the Service: Use the Service for any illegal, deceptive, or harmful purpose, including to harass, defraud, exploit, or mislead anyone, or to generate spam or unsolicited communications.

• Interfere with Security: Attempt to probe, scan, compromise, or test the vulnerability of the Service or any related system, or breach any security or authentication measures.

• Reverse Engineer: Attempt to reverse engineer, decompile, decipher, or otherwise access the underlying source code, algorithms, or data of the Blai AI models or software.

• Resell or Misrepresent: Sell, rent, sublicense, or lease access to the Service to any third party, or represent the AI's output as being human-generated when it is not.

• Competitive Use: Use the output of the Service to develop or improve any competing AI model or service.

6. User Content and Data

6.1. Your Content

"User Content" means any text, data, or other material that you enter, upload, or provide to the Service as well as any output generated for you based on that input. You retain ownership of any original content you provide to Blai. However, by using the Service, you grant Blai Labs a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, display, and create derivative works from your User Content for the purpose of operating, improving, and developing our products and services.

6.2. Responsibility for Content

You are solely responsible for the User Content you provide and for ensuring it complies with these Terms and applicable law. By providing any content, you represent that you have all necessary rights and permissions to do so.

6.3. Feedback

If you submit suggestions, ideas, or feedback to us about the Service, you agree that we are free to use and implement such feedback without any restriction or compensation to you.

7. Privacy

Your use of the Service is subject to our Privacy Policy (available at https://www.blaiapp.io/privacy). Please review the Privacy Policy to understand how we collect, use, and protect your personal information. By using the Service, you consent to the collection and use of your data as described in the Privacy Policy.

8. Intellectual Property Rights

All intellectual property rights in and to the Service are and will remain the exclusive property of Blai Labs Inc. and its licensors. Subject to your compliance with these Terms, Blai grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for your own informational purposes.

9. Suspension and Termination

9.1. By You

You are free to stop using the Blai Service at any time. You may delete your account or discontinue use of the app if you no longer agree to these Terms.

9.2. By Blai Labs

We reserve the right to suspend or terminate your access to the Service at our sole discretion with or without notice if we determine that you have violated these Terms or any applicable policies.

10. Disclaimers of Warranties

Blai Labs provides the Service on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties and conditions, whether express, implied, or statutory, with respect to the Service and the information or content provided through it.

11. Limitation of Liability

To the fullest extent permitted by law, Blai Labs and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service.

12. Indemnification

You agree to indemnify, defend, and hold harmless Blai Labs, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses that arise out of your use of the Service.

13. Changes to these Terms

Blai Labs may modify or update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on our website or by other appropriate means.

14. Governing Law

These Terms and any dispute arising from your use of the Service shall be governed by the laws of the State of Delaware, USA, without regard to its conflict of law principles.

15. Miscellaneous

These Terms constitute the entire agreement between you and Blai Labs regarding your use of the Service. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
